Sustainability Governance

We believe a strong governance structure helps drive sustainability performance. We embed sustainability considerations into our business strategy to support operational excellence, risk mitigation and long-term value creation, while regularly monitoring progress toward our sustainability goals and incorporating learnings into decision-making. Matson’s Board sets this tone at the top by fostering a culture of integrity and accountability. Furthermore, cultivating relationships with external stakeholders helps inform our priorities.

Matson’s Board of Directors, with the assistance of the Audit Committee, the Compensation Committee and the Nominating and Corporate Governance Committee, is responsible for overseeing sustainability matters relevant to our business (see Matson’s Corporate Governance Guidelines).


Ethics

Matson has a long-standing reputation for conducting business ethically, honestly, and with integrity. These principles are fundamental to our success and continued growth and are core to how we operate.

Matson’s Code of Conduct forms the center of our ethics and compliance programs. The Code applies to all Matson operations worldwide and is meant to provide clear guidance on the high standards of integrity all Matson employees are expected to uphold. It outlines how to prevent and address instances of corruption, conflicts of interest, fraud, money laundering, and violations of antitrust law and anti-competitive practices. The Code also provides guidance on equal opportunity and anti-harassment, appropriate gifts and travel, and other business interactions. All directors, executive officers, employees, contractors, and business partners are required to adhere to the Code.


Our Sustainability Strategy

Matson’s sustainability strategy is designed to align with our broader business objectives and long-term vision. By engaging with internal and external stakeholders, we regularly refine our focus areas and prioritize risks and opportunities that we believe will deliver meaningful impact.


Enterprise Risk Management

Matson takes a comprehensive approach to risk management through our enterprise risk management (“ERM”) program. Our program incorporates climate risk analysis, cybersecurity safeguards and robust emergency preparedness. These efforts help support proactive risk identification, development of mitigation strategies, operational continuity and stakeholder trust.

Board Oversight of Risk Management

The Board oversees Matson’s risk management process, which includes our process for identifying, assessing and mitigating significant financial, operational, legal, compliance, strategic and other risks that may affect the Company. These risks include, among other things, risks related to climate change; human capital management; regulatory compliance; cybersecurity and information security; health and safety; mergers and acquisitions; operational resilience; geopolitical situations; and competition.


Data Privacy and Cybersecurity

Our digital ecosystem—from vessel routing capabilities to logistics management platforms— underpins operational efficiency and strategic agility across the organization. As reliance on these systems grows, so does our exposure to cyber and operational risks. Strengthening the resilience and security of these technologies, and the proprietary data they manage, remains critical to protecting business continuity and reinforcing stakeholder confidence (for more information, see the Cybersecurity section in Matson’s 2025 Form 10‑K).
